Guidewire, the insurance software company used by more than 570 property and casualty (P&C) insurers, has agreed to buy London-based hyperexponential for a base price of $1.7 billion in cash. Guidewire announced the deal on October 27 at its Connections conference in Las Vegas. It will also pay up to $400 million more in contingent consideration if hyperexponential hits "specified recurring revenue targets." Reuters put the deal at up to $2.1 billion, which is the base price plus the full earnout.
hyperexponential, which Guidewire's release also calls "hx," sells what Guidewire calls AI-native underwriting and pricing software for commercial insurers. Guidewire says the acquisition sets it up "to define agentic underwriting," where AI agents "work alongside underwriters and actuaries to assess risk, price it, and make decisions." The deal is expected to close in the second quarter of Guidewire's fiscal year 2027, which is the quarter ending January 31, 2027.
What Guidewire is buying
Underwriting is the part of insurance where a company decides whether to take on a risk and what to charge for it.
hyperexponential builds the software layer for that work. Its platform covers "submission triage, risk assessment, pricing, rating, and portfolio steering," according to the release. The release says insurers use hx for underwriting decisions across more than $75 billion in annual commercial P&C premium. Named customers include Aviva, Allianz, Sompo, Beazley, Markel, HDI, Cincinnati Financial, Convex and Bowhead. Guidewire says hx has a "particularly strong presence" among commercial and specialty insurers in the United Kingdom.
In the investor presentation filed with the SEC, Guidewire frames the two companies as complementary. Guidewire brings the "system of record and transaction backbone," including policy administration, billing and claims systems. hx brings "decision infrastructure for underwriting work," including underwriting workflows, a pricing and rating engine, underwriting decisioning and what the deck calls "hyperoperator and agentic automation." The deck says the deal adds a team of about 300 people.
The two companies already work together. hx is an existing Guidewire PartnerConnect Technology Alliance Partner. There is also a board link from 2024. When hx raised a $73 million Series B in January 2024, led by Battery Ventures with Andreessen Horowitz and Highland Europe, Battery partner Marcus Ryu joined the hx board. That announcement described Ryu as Guidewire's co-founder, chairman and former CEO.

How Guidewire will pay for it
Guidewire expects to fund the deal with $1.0 billion in new term loan financing plus existing cash. The company has a binding debt commitment from Bank of America and Citibank. Guidewire's 8-K filing adds the detail:
- The base price is "subject to adjustments, including for working capital, cash, indebtedness, and certain retention amounts." The deck says the roughly $1.7 billion is "inclusive of employee retention pool."
- The loan is a senior secured incremental term loan A that matures on December 2, 2029. Interest is either term SOFR plus 1.00% to 2.00% or a base rate plus 0.00% to 1.00%, set by Guidewire's consolidated leverage ratio.
- The 8-K says the acquisition "is not subject to any conditions to closing," and closing does not depend on the loan proceeds or any replacement financing. The bank commitment itself is subject to "customary limited conditions."
- Guidewire "may pursue alternative transactions to fund all or a portion" of the deal.
Why it matters
Guidewire pitches the deal as joining its core systems and hx's pricing and underwriting tools on "one platform," in the deck's words. The deck lists three growth areas, each sized at about $30 billion or 1% of direct written premium: core system sales, "Agentic Claims" and "Agentic Underwriting." Those are Guidewire's own market estimates, not independent figures.
The deal also moves the growth numbers. Guidewire says hx is expected to add at least 650 basis points to its fiscal 2027 ARR growth on an inorganic basis. Starting in fiscal 2028, it is expected to add at least 150 basis points to Guidewire's "durable organic ARR growth." Guidewire expects the deal to have no impact on its first quarter fiscal 2027 guidance. It will update full-year guidance on its December 2026 earnings call.

The release cites a Celent report, which says one industry consulting firm working with US and UK commercial P&C insurers found AI "can improve underwriting efficiency significantly in complex lines and reduce loss ratios by percentage points by making use of previously unstructured data like telematics, satellite imagery, and loss history." That is a claim from a cited third party, not a measured result from hx customers.
What to watch
- Closing. Guidewire expects the deal to close in the quarter ending January 31, 2027. The release warns the deal "may not be completed in a timely manner or at all."
- The earnout. The extra $400 million depends on "specified recurring revenue targets" after closing. The release, 8-K and deck do not list the targets. The 8-K says the acquisition agreement will be filed with Guidewire's quarterly report for the period ending October 31, 2026.
- Product plans. The release and deck do not give a timeline for combining hx products with Guidewire's platform.
- US expansion. Guidewire calls hx's UK presence "particularly strong," and the deck cites "European and London Market reach." In its January 2024 Series B release, hx said it was targeting a New York office opening that year.
